Definitions

● Content: All images, video clips, graphics, creative elements, and other items provided by the platform.

● Client: Any individual or entity that obtains a license to use content from the platform, either directly or indirectly.

● Project Usage: Utilizing the content according to the conditions specified in this agreement.

● Prohibited Usage: Any usage that contradicts these terms or violates local or international laws.

● Content Creator: The individuals or entities that own the original rights to the content provided on the platform.

Platform Rights

1. The platform retains all legal rights related to the content and grants the client a non-exclusive, non-transferable, and limited license to use the content.

2. The platform has the right to modify or remove any content at any time without prior notice.

3. The platform is not liable for any misuse of content by clients before their use.

4. Seen Content reserves the right to seek compensation and take necessary legal actions through the relevant judicial authorities in cases of violations of these terms.

Permitted Uses

You may use the content for:

1. Advertising and marketing campaigns.

2. Digital and print designs.

3. Audio-visual productions such as videos and films.

4. Personal or non-commercial usage.

Prohibited Uses

The following uses are strictly prohibited:

1. Using the content in activities that violate local or international laws.

2. Altering the content in a way that infringes on intellectual property rights, copyrights, or defames individuals or organizations.

3. Redistributing or reselling the content as part of an independent product or offering it to third parties as part of a library or archive without the platform's explicit written approval.

4. Using or displaying the content directly or indirectly in illegal, defamatory, deceptive, or explicit contexts.

5. Utilizing the content to generate similar content using artificial intelligence tools.

6. Claiming falsely or implicitly that you created the content or that it was made by another party.

7. Displaying or portraying individuals in the content in an offensive, defamatory, or unethical manner.

8. Using the content in materials or products intended to discriminate, abuse, or harm individuals, organizations, or groups.

9. Employing the content in contexts that promote alcohol, tobacco, adult services, or activities related to recreational services without explicit approval.

10. Using the content in political contexts, including endorsing or opposing specific political figures, parties, or ideologies.

11. Displaying the content in ways that cause harm, loss, or suffering to individuals, such as promoting diseases or other hardships.

12. Utilizing the content in a way that infringes on the intellectual property rights or trademarks of third parties.

13. Using the content as part of a logo or trademark without the platform’s explicit permission.

14. Exploiting the content in a way that harms the reputation of the platform or content creators.

15. Causing legal disputes with other parties or subjecting the platform to legal accountability due to improper use of the content.

16. Integrating the content into products or materials aimed at discriminating against, offending, or harming individuals, organizations, or groups.

17. Using the content in any manner that violates applicable laws or regulations.

Client Responsibilities

1. The client assumes full responsibility for damages resulting from misuse of the content.

2. The client agrees to use the content in accordance with these terms.

3. The client agrees to compensate the platform for any losses or legal claims arising from violations of this agreement.

Platform Guarantees

The platform provides the following guarantees:

1. The platform guarantees that it holds all necessary rights for the use of the content it offers.

2. The platform ensures that all types of content provided comply with applicable laws in the UAE.

3. The platform guarantees that the content is free of harmful software or malicious materials that could affect users.

4. The platform is not responsible for unauthorized alterations or uses of the content made by clients.

5. In the case of any questions or issues related to the content, Seen Content provides various means of communication with its support team.

6. Seen Content guarantees the following additional points:

  - All content creators and vendors providing content on the platform have the necessary rights for its use.

  - The content, including images and footage, is provided by us in its original form as displayed for sale. When used in compliance with the service terms and applicable laws, we guarantee that it will not:

   1. Violate copyrights, trademarks, or other intellectual property rights.

   2. Breach the privacy or publicity rights of any third party.

   3. Break any national or international laws or regulations.

   4. Be used in a defamatory, obscene, or pornographic manner.

7. The content must not be used in any way that promotes defamatory, obscene, or pornographic materials.

8. The platform guarantees compliance with its service terms, ensuring that the content, even if modified, adheres to the above-mentioned laws and conditions. However, the platform does not guarantee editorial content, particularly in cases where it contains third-party elements that are beyond its control.

9. The platform does not offer any additional guarantees beyond what is explicitly stated in this section, and it remains committed to the quality of the content offered.

10. Seen Content is not liable for any improper usage or unauthorized modifications of the content that lead to legal violations or damages to other parties.

11. In the event of a legal claim regarding improper content usage, the responsibility falls solely on the user who violated the applicable laws or the terms of use.

12. Seen Content reserves the right to suspend or terminate the license of any client or content creator who violates these terms or poses legal risks to the platform.

Legal and Compensation Provisions

In case of any violations of this agreement, the platform reserves the right to:

1. Suspend or terminate the license.

2. Seek financial compensation for resulting damages.

3. Take legal action through the relevant judicial authorities.

4. The platform is not responsible for damages resulting from modifications made by the client or their clients.

5. The total liability of the platform shall not exceed the amount paid for the license.

Additional Terms

1. All fees paid are non-refundable.

2. You are fully responsible for complying with local and international laws related to the use of the content.

3. You may not transfer your obligations or rights under this agreement to third parties without prior written approval from the platform.

4. You may not falsely claim that the content was created by another party or imply that you hold rights to content created by others.

5. Disputes regarding this agreement will be resolved amicably or through arbitration in the UAE.

Amendments to the Agreement

The platform reserves the right to modify the terms of this agreement at any time. Clients will be notified of changes via email or on the website. Continued use of the content after modifications constitutes acceptance of the new terms.
